These Terms of Service (“Terms”) constitute a binding agreement between you (“Client” or “you”) and EFESHAUS, a sole proprietorship registered in the British Virgin Islands (“EFESHAUS”, “we”, “our” or “us”), governing your access to and use of our website and all services we provide. By engaging our services, you acknowledge and agree to be bound by these Terms.

1. Business Identity and Governing Law

1.1 Legal Identity

  • 1.1.1 EFESHAUS is a registered sole proprietorship in the British Virgin Islands (“BVI”), a British Overseas Territory.
  • 1.1.2 The business operates in accordance with the laws and regulations of the BVI.

1.2 Jurisdiction and Applicability

  • 1.2.1 These Terms are governed by the laws of the BVI.
  • 1.2.2 All Clients, whether located within or outside the BVI, agree to be bound by the laws of the BVI in respect of services rendered.

2. Website Usage

2.1 Account Requirements

  • 2.1.1 Clients are not required to create user accounts to access or use any part of the EFESHAUS website.

2.2 Data Collection and Storage

  • 2.2.1 EFESHAUS collects personal information through third-party platforms including, but not limited to, Google Forms and Squarespace Forms.
  • 2.2.2 Data collected is stored securely and used solely for the purpose of providing services.

2.3 User-Generated Content

  • 2.3.1 The website does not allow comments, uploads, or reviews from users.

2.4 Intellectual Property

  • 2.4.1 All content on the website, including but not limited to logos, designs, and written materials, is the original property of EFESHAUS.
  • 2.4.2 Intellectual property may be subject to copyright or trademark protections, including future registrations.

3. Bookings and Payments

3.1 Payment Terms

  • 3.1.1 Accepted payment methods include bank transfer, ATH Movil, debit card, PayPal, and Zelle.
  • 3.1.2 Invoices are issued and full payment is due upon completion of services unless otherwise agreed in writing.

3.2 Deposits and Retainers

  • 3.2.1 EFESHAUS requires deposits for bookings.
  • 3.2.2 Deposit amounts vary depending on the service booked and will be communicated in advance.
  • 3.2.3 Deposits are refundable only if the booking is canceled at least twenty-four (24) hours in advance.

3.3 Cancellation Policy

  • 3.3.1 Clients must provide a minimum of twenty-four (24) hours’ notice to cancel a booking.
  • 3.3.2 Failure to cancel within this window will result in forfeiture of the deposit.

3.4 Payment Plans

  • 3.4.1 Payment plans may be offered upon request and are subject to written agreement.

3.5 Contractual Requirements

  • 3.5.1 Clients must sign a written contract prior to the commencement of any service engagement.

4. Intellectual Property and Ownership

4.1 Ownership of Work

  • 4.1.1 EFESHAUS retains ownership of all raw creative files, including but not limited to project files, editable documents, and unexported versions of work.
  • 4.1.2 Clients are granted a license to use the final deliverables only after full payment is received.

4.2 Usage Rights

  • 4.2.1 Usage rights are limited to the scope specified in the client’s contract or service agreement.
  • 4.2.2 Unauthorized reproduction, redistribution, or commercial exploitation of work is strictly prohibited without written consent from EFESHAUS.

5. Client Responsibilities

5.1 Timely Communication

  • 5.1.1 Clients are expected to respond promptly to communications to facilitate timely completion of services.

5.2 Providing Required Materials

  • 5.2.1 Clients are responsible for providing all necessary materials, information, and approvals required for EFESHAUS to deliver the contracted services.
  • 5.2.2 EFESHAUS is not responsible for delays caused by the client’s failure to provide such materials on time.

6. Legal Services and Dispute Resolution

6.1 Legal Services Disclaimer

  • 6.1.1 EFESHAUS, through its division EFES LAW, offers legal consultancy, mediation, and notarial services in the BVI.
  • 6.1.2 Formal legal representation and regulated legal work is carried out through partnership with AXEL LAW, a duly authorized law firm in the BVI.

6.2 Dispute Resolution

  • 6.2.1 In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation.
  • 6.2.2 If unresolved, the matter shall be referred to mediation within the BVI prior to any legal proceedings.
  • 6.2.3 Both parties agree to participate in mediation in good faith and bear their own associated costs.

7. Modifications to Terms

7.1 Right to Modify

  • 7.1.1 EFESHAUS reserves the right to update or modify these Terms at any time without prior notice.
  • 7.1.2 Updates will be posted on this page and, where appropriate, sent via email to existing clients.

7.2 Continued Use

  • 7.2.1 Continued use of our services after changes have been made constitutes your acceptance of the revised Terms.

8. Privacy and Confidentiality

8.1 Confidential Information

  • 8.1.1 EFESHAUS agrees to maintain the confidentiality of all non-public client information shared in the course of service delivery.
  • 8.1.2 Client data will not be disclosed to third parties except where necessary to provide services or as required by law.

8.2 Privacy Policy

  • 8.2.1 Use of this website and our services is also governed by our Privacy Policy, which forms part of these Terms.

9. Limitation of Liability

9.1 Service Limitations

  • 9.1.1 EFESHAUS makes no guarantees or warranties regarding specific results or outcomes of services.
  • 9.1.2 Services are provided “as is” without warranties of any kind, express or implied.

9.2 Damages

  • 9.2.1 In no event shall EFESHAUS be liable for any indirect, incidental, special, consequential, or punitive damages arising from or relating to services rendered.
  • 9.2.2 EFESHAUS’s liability shall not exceed the total fees paid by the client for the specific service in question.
